1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Make Good Ventures LLC, a Delaware limited liability company, doing business as ScamHero ("Company," "we," "us," or "our"), regarding your use of the ScamHero mobile application and related services (collectively, the "Service").

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE.

If you do not agree to these Terms, you must not use the Service and should immediately uninstall the application.

2. DESCRIPTION OF SERVICE

ScamHero is a mobile application designed to help users identify potential scams, fraudulent messages, and suspicious communications. The Service includes:

- Scam Detection Analysis: AI-powered analysis of user-submitted images or text to identify potential scams

- Risk Assessment: Scoring and categorization of potential threats

- Educational Content: Information and guidance about fraud prevention

- Safety Recommendations: Actionable advice for handling suspicious communications

- Community Protection Features: Aggregated threat intelligence (anonymized)

2.1 Technology and Third-Party Services

The Service utilizes artificial intelligence, machine learning algorithms, and third-party services including but not limited to:

- optical character recognition services

- LLMs for content analysis

- Other analytical tools for scam detection

2.2 Service Limitations

IMPORTANT: ScamHero is a tool to assist in identifying potential scams. It does not guarantee detection of all fraudulent communications. Users should exercise independent judgment and not rely solely on the Service for protection against scams.

3. ELIGIBILITY AND USER ACCOUNTS

3.1 Age Requirements

You must be at least 18 years old to use the Service. If you are between 13 and 17 years old, you may use the Service only with the supervision and consent of a parent or legal guardian.

3.2 Account Registration

Currently, the Service may be used without creating an account. Future versions may require account registration for premium features. If account registration becomes available:

- You must provide accurate and complete information

- You are responsible for maintaining account security

- You must notify us immediately of unauthorized access

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. ACCEPTABLE USE AND PROHIBITED CONDUCT

4.1 Permitted Uses

You may use the Service only for:

- Personal, non-commercial purposes

- Analyzing suspicious communications you have received

- Educational purposes related to scam awareness

4.2 Prohibited Uses

You agree NOT to:

Technical Restrictions:

- Attempt to reverse engineer, decompile, or hack the Service

- Interfere with or disrupt the Service's operation

- Attempt to gain unauthorized access to our systems

Commercial Restrictions:

- Use the Service for commercial scam detection without our written permission

- Resell, redistribute, or sublicense the Service

- Create derivative works based on the Service

Legal Restrictions:

- Violate any applicable local, state, federal, or international laws

- Infringe on intellectual property rights

- Engage in activities that could harm minors

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Company Rights

The Service, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by Make Good Ventures LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

5.2 User Content License

When you submit content for analysis:

- You retain ownership of your submitted content

- You grant us a limited, non-exclusive, royalty-free license to process your content solely for providing the Service

- We do not claim ownership of your messages or communications

- Your content will be processed according to our Privacy Policy

5.3 Feedback

Any feedback, suggestions, or improvements you provide may be used by us without compensation or attribution.

6. PRIVACY POLICY

7. PAYMENT TERMS AND PREMIUM FEATURES

7.1 Current Free Service

The basic Service is currently provided free of charge.

7.2 Future Premium Features

We may introduce premium features requiring payment. When available:

Billing:

- Premium features will be offered as subscriptions through the Apple App Store or Google Play Store

- Pricing will be clearly displayed before purchase

- Payments are processed by Apple/Google; we do not directly collect payment information

- Subscriptions automatically renew unless cancelled

Refunds:

- Refunds are subject to Apple App Store or Google Play Store policies

- We do not process refunds directly

Changes to Pricing:

- We may modify pricing for future billing periods with 30 days' notice

- Current subscribers will be notified of price changes

- You may cancel before price changes take effect

7.3 Taxes

You are responsible for any applicable taxes related to your use of premium features.

8. DISCLAIMERS

8.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING:

- Continuous, uninterrupted, or error-free operation

- Accuracy or completeness of scam detection results

- Compatibility with all devices or operating systems

- Prevention of all types of scams or fraudulent communications

8.2 Accuracy Disclaimer

SCAM DETECTION LIMITATIONS: While ScamHero uses advanced technology to identify potential scams, we cannot guarantee:

- Detection of all scams or fraudulent communications

- Zero false positives or false negatives

- Protection against new or evolving scam techniques

- Accuracy of risk assessments or recommendations

8.3 Third-Party Services

We are not responsible for the availability, accuracy, or reliability of third-party services integrated into our application.

8.4 No Professional Advice

The Service provides educational information and automated analysis but does not constitute:

- Legal advice

- Financial advice

- Professional security consultation

- Law enforcement services

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

9.1 Damages Limitation

IN NO EVENT SHALL MAKE GOOD VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

- LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES

- DAMAGES RESULTING FROM RELIANCE ON SCAM DETECTION RESULTS

- FINANCIAL LOSSES DUE TO UNDETECTED SCAMS

- DAMAGES EXCEEDING THE AMOUNT PAID FOR PREMIUM FEATURES (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM

9.2 New York State Considerations

Nothing in these Terms shall limit liability for:

- Death or personal injury caused by negligence

- Fraud or fraudulent misrepresentation

- Violations of consumer protection laws that cannot be waived

- Other liabilities that cannot be limited under New York law

9.3 Delaware Law Considerations

These limitations apply to the fullest extent permitted under Delaware law, subject to applicable consumer protection statutes.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Make Good Ventures LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

- Your use of the Service

- Your violation of these Terms

- Your violation of any third-party rights

- Content you submit for analysis

- Your reliance on Service results

11. TERMINATION

11.1 Termination by You

You may stop using the Service at any time by uninstalling the application.

11.2 Termination by Us

We may suspend or terminate your access to the Service:

- Immediately for violations of these Terms

- With notice for operational or business reasons

- As required by law or court order

11.3 Effect of Termination

Upon termination:

- Your right to use the Service ceases immediately

- We may delete your account and associated data (subject to our Privacy Policy)

- Provisions that should survive termination will remain in effect

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

12.2 Jurisdiction

For any disputes not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

12.3 Arbitration

BINDING ARBITRATION CLAUSE:

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Terms:

- One arbitrator shall be selected

- Arbitration shall take place in New Castle County, Delaware, or via video conference

- Delaware law shall apply

- The arbitrator's decision shall be final and binding

- Each party shall bear their own costs and fees

Exceptions to Arbitration:

- Claims in small claims court

- Injunctive relief for intellectual property violations

- Claims that cannot be arbitrated under applicable law

Class Action Waiver: YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

12.4 New York Consumer Protection

For users residing in New York, nothing in this Section shall limit rights under New York consumer protection laws that cannot be waived.

13. MODIFICATIONS TO TERMS

13.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective:

- Immediately upon posting for non-material changes

- 30 days after notice for material changes affecting user rights or obligations

13.2 Notice of Changes

We will notify you of material changes through:

- In-app notifications

- Email (if we have your email address)

- Prominent notice on our website

13.3 Continued Use

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Make Good Ventures LLC regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

14.6 Export Control

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws.

14.7 Electronic Communications

You consent to receive communications from us electronically, and such communications satisfy any legal requirement for writing.
